FarmRoad hardware terms and conditions

WayBeyond provides Folium to customers on the basis of Folium devices (i.e. sensors, gateways and Bluetooth dongles) and a Folium subscription service.

Part A: APPLICATION, DEFINITIONS AND INTERPRETATION

1. APPLICATION

(a)     These Terms govern the sale of the Goods and/or Services (including any support services), whether purchased directly from WayBeyond (including purchases made over the internet, by phone or mail order, by execution of an order form or otherwise) or from an authorised WayBeyond reseller, distributor, agent or similar.

(b)     We are not bound by these Terms until We have accepted it.  Our acceptance occurs when We notify You by email that We have accepted Your order, or We commence supply of the Goods and/or Services to You (whichever is the earlier).  If, after We accepted these Terms, You submit a subsequent order, We are not bound by that order until We notify You by email that We have accepted that order, or commence supplying the relevant Goods and/or Services to You (whichever is the earlier).

(c)     These Terms apply to the exclusion of any standard terms You may have for the purchase of goods or services and any terms included, or incorporated by reference, in any request for quote, purchase order or other correspondence between You and Us.

2. DEFINITIONS

WayBeyond means WayBeyond Limited

WayBeyond Software means the software owned by Us (and Our licensors) that is used to provide the Service.

Confidential Information means any information that is not public knowledge and that is obtained from the other party in the course of, or in connection with, the provision and use of the Service. Our Confidential Information includes Intellectual Property owned by Us (or Our licensors), including the WayBeyond Software.  Your Confidential Information includes the Data.

Data means all data, content, and information owned, held, used or created by You or on Your behalf that is stored using, or inputted into, the Service and includes Personal Data and Agricultural Data as those terms are defined in clause 13(a).

Force Majeure means an event that is beyond the reasonable control of a party, excluding:

  • an event to the extent that it could have been avoided or overcome by a party taking reasonable steps or reasonable care; or
  • a lack of funds for any reason.

Goods means the physical Folium device and associated hardware purchased from WayBeyond or an authorised WayBeyond reseller, distributor, agent or similar.

Intellectual Property Rights includes copyright and all rights anywhere in the world conferred under statute, common law or equity relating to inventions (including patents), registered and unregistered trade marks and designs, circuit layouts, data and databases, confidential information, know-how, and all other rights resulting from intellectual activity. Intellectual Property has a consistent meaning, and includes any enhancement, modification or derivative work of the Intellectual Property.

Objectionable includes being objectionable, defamatory, obscene, harassing, threatening, harmful, or unlawful in any way.

  • a party includes that party’s permitted assigns.
  • a person includes an individual, a body corporate, an association of persons (whether corporate or not), a trust, a government department, or any other entity.
  • personnel include officers, employees, contractors and agents, but a reference to Your personnel does not include Us.

Price means the price payable by You for the Goods (exclusive of any Sales Tax).

Sales Tax means goods and services tax, value added tax, sales tax or equivalent tax payable under any applicable law.

Service means Folium services accessed through a desktop, mobile device, tablet device or other such device provided by WayBeyond that is charged on a subscription basis, as updated from time to time.

Start Date means the date that You first access or use the Service.

Subscription Fees means the fees charged for the use of the Service (exclusive of any Sales Tax).

Terms means these terms.

Underlying Systems means the WayBeyond Software, IT solutions, systems and networks (including software and hardware) used to provide the Goods and Service, including any third-party solutions, systems and networks.

We, Us or Our means WayBeyond Limited, company number 616577, and its related companies (as defined in the Companies Act 1993).

Website means the internet sites at waybeyond.io and farmroad.io and and sites under its sub domain or such other site notified to You by Us.

Year means a 12-month period starting on the Start Date or the anniversary of that date.

You or Your means you or, both you and the other person on whose behalf you are acting.

Words in the singular include the plural and vice versa.

A reference to a statute includes references to regulations, orders or notices made under or in connection with the statute or regulations and all amendments, replacements or other changes to any of them.

3. INTERPRETATION

(a)     a reference to:

(i)     a clause is to a clause in these Terms;

(ii)     a person includes a body corporate, an association of persons (whether corporate or not), a trust, governmental or other regulatory body, authority or entity, in each case whether or not having a separate legal personality;

(iii)     including and similar words do not imply any limitation; and 

(iv)     a statute includes references to that statute as amended or replaced from time to time.

(b)     the headings in these Terms are for convenience only and have no legal effect; and

(c)     the singular includes the plural and vice versa.

Part B:  HARDWARE TERMS

4. PRICE

(a)     Price:  You must pay the Price for the supply of the Goods.

(b)     Payment Terms: You must pay the Price on the date(s) indicated by WayBeyond at the time of purchase, or if no indication is provided the terms of payment are as subsequently notified to you by WayBeyond (at WayBeyond’s sole discretion) and, unless otherwise agreed by WayBeyond in writing, payment must be received by WayBeyond prior to WayBeyond delivering the Goods.

(c)     Delivery costs:  You must reimburse WayBeyond for the delivery costs incurred by WayBeyond in supplying the Goods.

(d)     Overdue amounts:  WayBeyond may charge interest on overdue amounts.  Interest will be calculated from the due date to the date of payment (both inclusive) at the rate of 1.5% per month.

(e)     Sales Tax and deductions:  Unless specifically indicated otherwise, all amounts payable for the Goods by You do not include Sales Tax which, if applicable, must be paid by You in addition to the Price.

5. WARRANTIES

WayBeyond’s warranties in relation to the Goods are limited to those set out at www.waybeyond.io/waybeyond-product-warranty at the date of Your purchase.  

(a)     The warranties in clause 5 do not apply to any defect caused by modification of the Goods by any person other than Us, Your breach of these Terms, or use of the Goods for a purpose not contemplated by these Terms and not authorised by Us in writing.

(b)     To the maximum extent permitted by law, Our warranties are set out in this clause 5 and all other conditions and warranties, including any as to merchantable quality or fitness for purpose (including a particular purpose) are excluded.

6. DELIVERY

The Goods shall be delivered to You Ex-Works, as defined and in accordance with the 2010 edition of Incoterms and its supplements, published by the International Chamber of Commerce.

7. TITLE AND RISK

Title in the Goods shall pass when full payment of the Price in respect of the Goods is received by WayBeyond.  Risk in the Goods shall pass when the Goods are delivered Ex-Works to a common carrier.

8. SECURITY

WayBeyond may register a security interest in Goods provided by WayBeyond under these Terms until such time as those Goods have been paid for in full.

Part C:  SUBSCRIPTION SERVICES TERMS

9. APPLICATION OF TERMS

(a)     This  Part C  applies to Your use of the Service (as that term is defined below).  By accessing and using the Service or setting up an account:

(i)     You agree to this Part C; and

(ii)     where Your access and use are on behalf of another person (e.g. a company), You confirm that You are authorised to, and do in fact, agree to this Part C on that person’s behalf and that, by agreeing to this Part C on that person’s behalf, that person is bound by this Part C.

(b)     If You do not agree to these Terms, You are not authorised to access and use the Service, and You must immediately stop doing so.

10. PROVISION OF THE SERVICE

(a)     We must use reasonable efforts to provide the Service:

(i)     in accordance with these Terms and New Zealand law;

(ii)     exercising reasonable care, skill and diligence; and

(iii)     using suitably skilled, experienced and qualified personnel.

(b)     Our provision of the Service to You is non-exclusive.  Nothing in these Terms prevents Us from providing the Service to any other person.

(c)     Subject to clause (d), We must use reasonable efforts to ensure the Service is available on a 24/7 basis.  However, it is possible that on occasion the Service may be unavailable to permit maintenance or other development activity to take place, or in the event of Force Majeure.  We must use reasonable efforts to give You at least 7 days’ advance details of any unavailability.

(d)     Through the use of web services and APIs, the Service interoperates with a range of third party service features.  We do not make any warranty or representation on the availability of those features.  Without limiting the previous sentence, if a third-party feature provider ceases to provide that feature or ceases to make that feature available on reasonable terms, We may cease to make available that feature to You.  To avoid doubt, if We exercise Our right to cease the availability of a third-party feature, You are not entitled to any refund, discount or other compensation.

11. YOUR OBLIGATIONS

(a)     You and Your personnel must:

(i)     use the Service in accordance with these Terms solely for:

  • Your own internal business purposes; and
  • lawful purposes; and

(ii)     not resell or make available the Service to any third party, or otherwise commercially exploit the Service.

(b)     When accessing the Service, You and Your personnel must:

(i)     not impersonate another person or misrepresent authorisation to act on behalf of others or Us;

(ii)     correctly identify the sender of all electronic transmissions;

(iii)     not attempt to undermine the security or integrity of the Underlying Systems;

(iv)     not use, or misuse, the Service in any way which may impair the functionality of the Underlying Systems or impair the ability of any other user to use the Service;

(v)     not attempt to view, access or copy any material or data other than:

  • that which You are authorised to access; and
  • to the extent necessary for You to use the Service in accordance with these Terms; and
  • neither use the Service in a manner, nor transmit, input or store any Data, that breaches any third party right (including Intellectual Property Rights and privacy rights) or is Objectionable, incorrect or misleading.

(c)     A breach of any of these Terms by Your personnel is deemed to be a breach of these Terms by You.

12. DATA

(a)     WayBeyond separates data into two categories:

(i)     Personal Data relates to data about an identifiable, living person.

(ii)     Agricultural Data relates to the data collected by WayBeyond as to the operation of Your business and may include data from devices that monitor and manage Your operation, the location of Your operation and the size of Your operation. This data may be used by WayBeyond to support the operations of Your business, to assist WayBeyond in the development of its products and services and to provide crop performance information on an anonymised and aggregated basis to third parties.

(b)     You acknowledge that to the extent that this is necessary but subject to clause 18, We may authorise a member or members of Our personnel to access the Data for this purpose.

(c)     You must arrange all consents and approvals that are necessary for Us to access the Data as described in clause (a).

(d)     You acknowledge and agree that to the extent Data contains Personal Data, in collecting, holding and processing that information through the Service, We are acting as Your agent for the purposes of the Privacy Act 1993 and any other applicable privacy law.  You must obtain all necessary consents from the relevant individual to enable Us to collect, use, hold and process that information in accordance with these Terms.  We will deal with Personal Data in accordance with Our Privacy Policy which is available at www.waybeyond.io/privacy-policy.

(e)     You agree that We may store Data in secure servers and may access that Data from time to time.

(f)     You indemnify Us against any liability, claim, proceeding, cost, expense (including the actual legal fees charged by Our solicitors) and loss of any kind arising from any actual or alleged claim by a third party that any Data infringes the rights of that third party (including Intellectual Property Rights and privacy rights) or that the Data is Objectionable, incorrect or misleading.

13. SUBSCRIPTION FEES

(a)     We will provide You with valid GST tax invoices on an annual basis prior to the due date for payment.

(b)     The Subscription Fees exclude GST, which You must pay on taxable supplies, where relevant.

(c)     You must pay the Subscription Fees in accordance with the invoice that is issued, electronically in cleared funds without any set-off or deduction.

(d)     We may increase the Subscription Fees by giving at least 60 days’ written notice prior to the renewal date for Your then current subscription term.

14. WARRANTIES

(a)     Each party warrants that it has full power and authority to enter into, and perform its obligations, under these Terms.

(b)     To the maximum extent permitted by law:

(i)     Our warranties are limited to those set out in these Terms, and all other conditions, guarantees or warranties whether expressed or implied by statute or otherwise (including any warranty under Part 3 of the Contract and Commercial Law Act 2017) are expressly excluded and, to the extent that they cannot be excluded, liability for them is limited to NZD100.00; and

(ii)     We make no representation concerning the quality of the Service and do not promise that the Service will:

  • meet Your requirements or be suitable for a particular purpose; or
  • be secure, free of viruses or other harmful code, uninterrupted or error free.

(c)     You agree and represent that You are acquiring the Service, and accepting these Terms, for the purpose of a business and that the Consumer Guarantees Act 1993 and any other applicable consumer protection legislation does not apply to the supply of the Service or these Terms.  

(d)     Where legislation or rule of law implies into these Terms a condition or warranty that cannot be excluded or modified by contract, the condition or warranty is deemed to be included in these Terms.  However, Our liability for any breach of that condition or warranty is limited, at Our option, to:

(i)     supplying the Service again; and/or

(ii)     paying the costs of having the Service supplied again.

15       TERM, TERMINATION AND SUSPENSION

(a)     Unless terminated under this clause 15, Your right to access and use the Service

(i)     starts on the Start Date for an initial term of 12 months; and

(ii)     in any case, continues until a party gives 3 days’ written notice that these Terms and Your access to and use of the Service will terminate on the expiry of that notice.

(b)     We may, by written notice to You, immediately terminate these Terms and Your right to access and use the Service if You:

(i)     breach any material provision of these Terms and the breach is not:

  • remedied within 10 days of the receipt of a written notice from Us requiring You to remedy the breach; or
  • capable of being remedied; or

(ii)     become insolvent, liquidated or bankrupt, have an administrator, receiver, liquidator, statutory manager, mortgagee’s or chargee’s agent appointed, become subject to any form of insolvency action or external administration, or cease to continue business for any reason.

(c)     You may terminate these Terms for any reason by providing 30 days written notice.

(d)     Termination of these Terms does not affect either party’s rights and obligations that accrued before that termination.

(e)     On termination of these Terms, You must pay all Fees for the provision of the Service prior to that termination.

(f)     No compensation is payable by Us to You as a result of termination of these Terms for whatever reason, and You will not be entitled to a refund of any Fees that You have already paid.  

(g)     Except to the extent that a party has ongoing rights to use Confidential Information, at the other party’s request following termination of these Terms but subject to clause (h), a party must promptly return to the other party or destroy all Confidential Information of the other party that is in the first party’s possession or control.  

(h)     At any time prior to six months after the date of termination, You may request:

(i)     a copy of any Data stored using the Service, provided that You pay Our reasonable costs of providing that copy.  On receipt of that request, We must provide a copy of the Data in a common electronic form.  We do not warrant that the format of the Data will be compatible with any software; and/or

(ii)     deletion of the Data (including Personal Data stored using the Service, in which case We must use reasonable efforts to promptly delete the data, subject to the retention of Agricultural Data

(i)     To avoid doubt, We are not required to comply with clause 16(h) to the extent that You have previously requested deletion of the Data.

(j)     Without limiting any other right or remedy available to Us, We may restrict or suspend Your access to and use of the Service and/or delete, edit or remove the relevant Data if We consider that You or any of Your personnel have:

(i)     undermined, or attempted to undermine, the security or integrity of the Service or any Underlying Systems;

(ii)     used, or attempted to use, the Service:

  • for improper purposes; or
  • in a manner, other than for normal operational purposes, that materially reduces the operational performance of the Service;

(iii)     transmitted, inputted or stored any Data that breaches or may breach these Terms or any third party right (including Intellectual Property Rights and privacy rights), or that is or may be Objectionable, incorrect or misleading; or

(iv)     otherwise materially breached these Terms.

Part D: FOLIUM GENERAL TERMS

16. YOUR RESPONSIBILITIES

You agree to be responsible for the installation of the Goods and Services. Our warranties are provided on the basis that correct installation of all Goods and Services has been performed.

17. INTELLECTUAL PROPERTY

(a)     Except as expressly agreed in writing, You must not (nor permit any third party to you) copy, adapt, reverse engineer, decompile, disassemble, modify, adapt or make error corrections to the Goods or Services in whole or in part except to the extent necessary for the purposes of integrating the operation of the Goods or Services with the operation of other software or systems operated by it; 

(b)     Subject to clause (c), title to, and all Intellectual Property Rights in, the Goods, the Service, the Website, and all Underlying Systems is and remains the property of Us (and Our licensors).  You must not dispute that ownership.

(c)     Title to, and all Intellectual Property Rights in, the Data (as between the parties) remains Your property.  You grant Us a worldwide, non-exclusive, fully paid up, transferable, irrevocable licence to use, store, copy, modify, make available and communicate the Data for any purpose in connection with the exercise of Our rights and performance of Our obligations in accordance with these Terms.

(d)     If You provide Us with ideas, comments or suggestions relating to the Service or Underlying Systems (together feedback):

(i)     all Intellectual Property Rights in that feedback, and anything created as a result of that feedback (including new material, enhancements, modifications or derivative works), are owned solely by Us; and

(ii)     We may use or disclose the feedback for any purpose.

(e)     You acknowledge that the Service may link to third party websites or feeds that are connected or relevant to the Service.  Any link from the Service does not imply that We endorse, approve or recommend, or have responsibility for, those websites or feeds or their content or operators.  To the maximum extent permitted by law, We exclude all responsibility or liability for those websites or feeds.

18. CONFIDENTIALITY

(a)     Each party must, unless it has the prior written consent of the other party:

(i)     keep confidential at all times the Confidential Information of the other party;

(ii)     effect and maintain adequate security measures to safeguard the other party’s Confidential Information from unauthorised access or use; and

(iii)     disclose the other party’s Confidential Information to its personnel or professional advisors on a need to know basis only and, in that case, ensure that any personnel or professional advisor to whom it discloses the other party’s Confidential Information is aware of, and complies with, clauses (i) and (ii).

(b)     The obligation of confidentiality in clause (a)(i) does not apply to any disclosure or use of Confidential Information:

(i)     for the purpose of performing a party’s obligations, or exercising a party’s rights, under these Terms;

(ii)     required by law (including under the rules of any stock exchange);

(iii)     which is publicly available through no fault of the recipient of the Confidential Information or its personnel;

(iv)     which was rightfully received by a party from a third party without restriction and without breach of any obligation of confidentiality; or

(v)     by Us if required as part of a bona fide sale of Our business (assets or shares, whether in whole or in part) to a third party, provided that We enter into a confidentiality.

19. LIABILITY

(a)     Our maximum aggregate liability to you in connection with:

(i)     any Goods will not exceed the Price paid by You for those Goods; and

(ii)     the Service, will not in any Year exceed an amount equal to the Subscription Fees paid by You relating to the Service in the previous Year (which in the first Year is deemed to be the total Fees paid by You from the Start Date to the date of the first event giving rise to liability)  The cap in this clause (a) includes the cap set out in clause 14.

(b)     Neither party is liable to the other party under or in connection with these Terms or the Goods or Service for any:

(i)     loss of profit, revenue, savings, business, use, data (including Data), and/or goodwill; or

(ii)     consequential, indirect, incidental or special damage or loss of any kind.

(c)     Clauses (a) and (b) do not apply to limit Our liability under or in connection with these Terms for:

(i)     personal injury or death;

(ii)     fraud or wilful misconduct; or

(iii)     intellectual property infringement or misappropriation claims.

(d)     Clause (b) does not apply to limit Your liability:

(i)     to pay the Subscription Fees;

(ii)     under the indemnity in clause 12(f); or

(iii)     for those matters stated in clause (c)(i) or (c)(ii).

(e)     Neither party will be responsible, liable, or held to be in breach of these Terms for any failure to perform its obligations under these Terms or otherwise, to the extent that the failure is caused by the other party failing to comply with its obligations under these Terms, or by the negligence or misconduct of the other party or its personnel.

(f)     Each party must take reasonable steps to mitigate any loss or damage, cost or expense it may suffer or incur arising out of anything done or not done by the other party under or in connection with these Terms or the Service.

20. GENERAL

(a)     Each party warrants that it has full power and authority to enter into, and perform its obligations, under these Terms.

(b)     Neither party is liable to the other for any failure to perform its obligations under these Terms to the extent caused by Force Majeure.

(c)     No person other than You and Us has any right to a benefit under, or to enforce, these Terms.

(d)     For Us to waive a right under these Terms, that waiver must be in writing and signed by Us.

(e)     Subject to clause 12(d), We are Your independent contractor, and no other relationship (e.g. joint venture, agency, trust or partnership) exists under these Terms.

(f)     If We need to contact You, We may do so by email.  You agree that this satisfies all legal requirements in relation to written communications.

(g)     These Terms, and any dispute relating to these Terms or the Service, are governed by and must be interpreted in accordance with the laws of New Zealand.  Each party submits to the non-exclusive jurisdiction of the Courts of New Zealand in relation to any dispute connected with these Terms or the Service.

(h)     Change of Terms. We may change these Terms at ay any time and will publish them on the website. Your continued use of the Services will constitute acceptance of the amended Terms.

(i)     Clauses which, by their nature, are intended to survive termination of these Terms, including clauses 12, 17, 18, 19 and (n), continue in force.  

(j)     If any part or provision of these Terms is or becomes illegal, unenforceable, or invalid, that part or provision is deemed to be modified to the extent required to remedy the illegality, unenforceability or invalidity.  If a modification is not possible, the part or provision must be treated for all purposes as severed from these Terms.  The remainder of these Terms will be binding on You.

(k)     Subject to clause 13(d), any variation to these Terms must be in writing and signed by both parties.

(l)     These Terms set out everything agreed by the parties relating to the Service, and supersede and cancel anything discussed, exchanged or agreed prior to the Start Date.  The parties have not relied on any representation, warranty or agreement relating to the Service that is not expressly set out in these Terms, and no such representation, warranty or agreement has any effect from the Start Date.  Without limiting the previous sentence, the parties agree to contract out of sections 9, 12A and 13 of the Fair Trading Act 1986.

(m)     You may not assign, novate, subcontract or transfer any right or obligation under these Terms without Our prior written consent, that consent not to be unreasonably withheld.  You remain liable for Your obligations under these Terms despite any approved assignment, subcontracting or transfer.  

(n)     Jurisdiction:  These Terms are governed by, and must be interpreted in accordance with, the laws of New Zealand.
